These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Spreadsheet Pros LLC, ("Company," "we," "us," or "our"). By accessing or using our website at dfwexcel.com, enrolling in any training program, submitting any form, or otherwise engaging with our services, you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, please discontinue use of our website and services immediately. These Terms apply to all visitors, registered users, students, corporate clients, and any other party who accesses or uses our services.

Services

Excel Experts provides Microsoft Excel training and education services, including but not limited to:

Instructor-led group classes (in-person in the Dallas-Fort Worth metro area and online via live virtual sessions)
Corporate and team training (on-site, at our DFW training facility, or virtually)
One-on-one individualized training sessions
Custom Excel consulting and project-based assistance
Certificates of Completion and Continuing Professional Education (CPE) credits

All services are subject to availability. We reserve the right to modify, suspend, or discontinue any service offering at any time with reasonable notice.

Enrollment and Registration

Account and Registration Information

When enrolling in a course or submitting a contact form, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

Eligibility

Our services are intended for individuals who are at least 18 years of age, or 13 years of age with verifiable parental or guardian consent. By using our services, you represent that you meet these eligibility requirements. Corporate clients represent that they have authority to bind their organization to these Terms.

Accuracy of Information

You agree that all information provided during enrollment, registration, or contact form submission is truthful and accurate. Providing false information may result in immediate termination of services without refund.

Fees, Payment, and Refund Policy

Pricing

Course fees and service rates are listed on our website or provided upon request and are subject to change. All prices are in U.S. dollars.

Payment

Payment is due at the time of enrollment or as otherwise agreed in writing. We accept major credit cards and other payment methods as indicated at checkout. Payment processing is handled by secure third-party processors; we do not store your full payment card details on our servers.

Cancellations and Refunds

Cancellations made more than 7 calendar days before a scheduled session are eligible for a full refund.
Cancellations made within 7 calendar days of a scheduled session may be subject to a cancellation fee of up to 50% of the session cost.
No-shows and same-day cancellations are non-refundable.
For team training packages, cancellation and refund terms will be outlined in the applicable service agreement.
CPE-related fees are non-refundable once a certificate of completion has been issued.

We reserve the right to cancel or reschedule any session due to low enrollment, instructor unavailability, or other circumstances beyond our control. In such cases, you will be offered a full refund or the opportunity to reschedule at no additional cost.

SMS and Text Messaging Terms

Overview

Excel Experts operates an SMS text messaging program to communicate with customers and prospective customers. By opting in to receive text messages from us, you agree to the following terms governing our messaging program.

Opt-In and Consent

By checking the SMS consent checkbox on any of our web forms, you expressly consent to receive recurring automated text messages from Excel Experts / Excel Experts at the mobile phone number you provide. Consent to receive text messages is not a condition of any purchase. You may opt in to:

Non-marketing messages: Transactional and informational messages such as class confirmations, scheduling reminders, session updates, and customer service communications.
Marketing messages: Promotional messages including special offers, discounts, new course announcements, and other commercial communications.

Each category requires a separate, distinct consent checkbox. Your consent for one category does not constitute consent for the other.

Message Frequency

Message frequency varies based on your interactions with us and the nature of your enrollment. For informational/transactional messages, you may receive messages related to your specific enrollments and inquiries as needed. For marketing messages, frequency will depend on active promotions and company updates.

Message and Data Rates

Standard message and data rates may apply to all SMS messages sent to you from us and from you to us, according to your mobile carrier's rate plan. Excel Experts is not responsible for any charges incurred through your mobile carrier.

Opt-Out Instructions

You may opt out of receiving text messages at any time by replying STOP to any message you receive from us. Upon receipt of your STOP message, we will send a final confirmation message and you will be unsubscribed from the applicable messaging program. You may also opt out by contacting us directly using the contact information below.

To re-subscribe after opting out, you may text START or opt in again through our website form.

Help and Support

If you experience any issues with our text messaging program, reply HELP to any of our messages for assistance. You may also contact us directly by phone at 469-620-8729 or through the contact form on our website.

Supported Carriers

Our text messaging program is compatible with most major U.S. wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, and others. Carrier support is not guaranteed for all carriers, and Excel Experts is not liable for delayed or undelivered messages.

No Sharing of SMS Data

Mobile opt-in data and SMS consent information will not be shared with, sold to, or transferred to any third party or affiliate for marketing or promotional purposes. All categories of personal data exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties whatsoever.

Geographic Restriction

Our SMS messaging program is available to U.S. residents only. By opting in, you confirm that you are a resident of the United States and that your mobile number is a U.S.-based number.

Intellectual Property

Ownership

All content on our website and in our training materials — including but not limited to text, graphics, logos, course curricula, exercises, spreadsheet templates, videos, and software — is the exclusive property of Excel Experts and is protected by applicable United States and international intellectual property laws.

Trademarks

"Excel Experts" and "Spreadsheet Pros" are registered trademarks of Excel Experts. You may not use these marks without our prior written permission.

License to Users

Upon enrollment, we grant you a limited, non-exclusive, non-transferable license to access and use training materials solely for your own personal or internal business educational purposes. This license does not permit you to:

Reproduce, distribute, or publicly display our materials
Sell, sublicense, or transfer course materials to any third party
Use our materials to deliver competing training programs or services
Remove or alter any copyright, trademark, or proprietary notices

Microsoft Excel is a registered trademark of Microsoft Corporation. Excel Experts is an independent training provider and is not affiliated with, endorsed by, or sponsored by Microsoft Corporation.

User Conduct

When using our website or services, you agree not to:

Violate any applicable local, state, or federal law or regulation
Use our services for any fraudulent, abusive, or unlawful purpose
Attempt to gain unauthorized access to our systems, networks, or data
Upload or transmit viruses, malware, or any other harmful code
Harass, threaten, or intimidate our staff, instructors, or other students
Misrepresent your identity or affiliation with any person or organization
Scrape, crawl, or systematically extract data from our website without authorization

Violation of these conduct standards may result in immediate termination of your access to our services without refund.

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no guarantee regarding specific learning outcomes, career advancement, salary increases, or professional results from completing our training programs. Individual results will vary.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Excel Experts AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Excel Experts, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit or transmit through our services.

Venue

Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Texas. You hereby consent to the personal jurisdiction of such courts.

Informal Dispute Resolution

Before initiating any formal legal action, you agree to contact us at 469-620-8729 or via our contact form to attempt to resolve any dispute informally. We will make reasonable efforts to resolve disputes amicably within 30 days.

Continuing Professional Education (CPE) Credits and Certificates

Excel Experts provides certificates of completion and CPE credits upon satisfactory completion of eligible courses. CPE credits are issued in accordance with applicable professional standards. It is your responsibility to verify that the CPE credits we offer are accepted by your specific professional body, licensing board, or employer. We make no guarantee of acceptance by any specific organization.

Modifications to These Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from the remaining Terms and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Excel Experts regarding your use of our services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
